Employee competition terms

The following terms and conditions (‘Terms’) apply to each Vodafone employee Betavine competition (‘Competition’). Each Competition gives you (‘You’) the chance to win a prize (‘Prize’). Competitions are run by Vodafone Group Services Limited, Vodafone House, The Connection, Newbury, RG14 2FN (‘Vodafone’). From time to time Competitions may be hosted by a third party company (‘Sponsor’). Sponsors will be identified on the entry page of the relevant Competition. Where Competitions are conducted by a Sponsor, Vodafone provides administrative support.

The judge (‘Judge’) of the Competition will be selected from a panel of external experts by Vodafone and the Sponsor at their sole discretion, and will be competent to judge the Competition according to the relevant success criteria set out in the entry documentation for each Competition (‘Success Criteria’).

By entering a Competition You will be deemed to have understood and agreed to be bound by these Terms, and accepted that Your participation in the Competition is subject to them. Please read these Terms carefully as they contain important information regarding your legal rights, remedies and obligations.

1. Eligibility Criteria and Participation

1.1 To be eligible to participate in a Competition and win a Prize, you must fulfill the eligibility criteria set out in these Terms:

1.1.1 You must have read and agreed to the current Betavine Website Terms of Use and Privacy Policy which are set out at www.betavine.net. You will be deemed to have agreed to these by entering into a Competition, where there is a conflict between the Betavine terms and these Terms, these Terms prevail;

1.1.2 You must be a current employee or contractor of Vodafone Group (which means Vodafone Group plc and any entity of which it owns, directly or indirectly, more that 50% of the shareholding, or has the right, directly or indirectly, to exercise more than 50% of the voting rights (‘Participating Company’);

1.1.3 If You cease or intend to cease being employed by a Participating Company or your contract with Vodafone ends at any time during the Competition, You will be disqualified on the date You give (or receive) notice terminating your employment or at the point at which your contract is terminated, whichever is sooner, and will not from that date be eligible to win or receive Prizes. Vodafone also reserves the right to disqualify you from the Competition where you are or have been at any time during the Competition subject to any form of disciplinary process by a Participating Company;

1.1.4 You must have registered yourself as a Developer on the Betavine.net website;

1.1.5 You will need to have completed the registration form on the Betavine website and uploaded Your application by the closing date of the Competition. The date on which You upload Your application will be deemed to be Your ‘Entry Submission Date’. Where there is any dispute over the competition entry date, Vodafone’s decision is final. Vodafone does not accept responsibility for lost or delayed entries;

1.1.6 Your entry must be completely Your own original work. Where your entry contains any software, code or other material which you have not created yourself, You must have the express consent of all authors of such work subsisting in Your entry, to submit such entry to the Competition; and

1.1.7 Your entry must be compatible with a commonly-available mobile device.

1.2 Whether the Prize is a cash prize or not, if the winning entry was submitted by the registered entrant on behalf of a team then the Prize will be awarded to the registered entrant and he or she will be responsible for apportioning the Prize among the rest of the team as he or she sees fit. Neither Vodafone nor the Sponsor (if different) shall be required to award a Prize to any person other than the winning registered entrant. Neither Vodafone nor the Sponsor (if different) shall be responsible for taking any decision as to the manner or proportion in which any Prize should be shared among the team of the winning registered entrant.

1.3 Each Competition is operated through the web site located at www.betavine.net.

1.4 Vodafone’s computer record of Your registration details (including Your Entry Submission Date) will be considered the accurate record of Your entry. Any entry that is not in accordance with these Terms will be void. Vodafone and the Sponsor (if different) reserve the right to reject any entry that they consider, in their sole discretion, to be incomplete, inaccurate, corrupted or otherwise unsuitable.

1.5 When submitting an entry to the Competition, personal information may be processed by Vodafone and the Sponsor (if different). You agree that the personal information (including Your personal information and that of any third party) which You provide in the course of entering into a Competition can be processed for the sole purpose of administering the Competition and it will not be disclosed to any other third parties. (Please see the Betavine Privacy Policy for further details).

1.6 The terms of your contract of employment with Vodafone (or service contract if you are a contractor) are intended to apply in relation to all intellectual property rights subsisting in an entry. However, for the avoidance of doubt, by submitting an entry, and in consideration of the opportunity to win a Prize, You assign to Vodafone with full title guarantee all intellectual property rights you may hold in the entry and waive absolutely any such moral rights that may subsist, and so far as is legally possible, any broadly equivalent rights You may have in any territory of the world. Where an entry is a joint entry, You shall procure such an assignment of intellectual property rights to Vodafone from all authors and provide to Vodafone, on its request, written absolute waivers from all authors of the entry in relation to any moral rights which subsist, and so far as is legally possible, any broadly equivalent rights such authors may have in any territory of the world.

1.7 Unless otherwise stated, each Competition is free to enter.

2. Judge’s Decision is Final

2.1 The winner(s) of each Competition will be decided by the Judge in the Judge’s sole discretion.

2.2 In the event that, in the Judge’s opinion, none of the registered entrants meet the Success Criteria for the Competition, no Prize will be awarded.

2.3 The Judge’s decision in relation to this Rule 2 shall be final and no correspondence shall be entered into.

3. Prize

3.1 Where a Prize is not cash, no cash alternative is available. Vodafone and the Sponsor (if different) reserve the right to substitute any Prize with one of equal or greater value.

3.2 The winner(s) of each Competition will be contacted directly by email or telephone. Vodafone and the Sponsor (if different) reserve the right to choose a substitute winner in the event that, despite reasonable efforts, Vodafone or the Sponsor (if different) is unable to contact a relevant winner.

3.3 The name of the Competition winner(s) will be available on www.betavine.net.

3.4 Prizes will be issued by Vodafone or the Sponsor (if different) in accordance with section 3.2, subject to the requirement that all relevant information necessary for the Prize to be issued has been provided. It is your responsibility to ensure that the contact information that you provide is correct. Vodafone or the Sponsor shall not be liable for any loss caused to the relevant winner as a result of incorrect contact information.

4. Publicity and Hosting

4.1 It is a condition of Your entry that: (a) Vodafone and the Sponsor (if different) has(ve) the right to publicise Your name for any matter or promotion which is incidental to the Competition and / or the Prize, including publicity (in whatever medium); and (b) Vodafone has the right to host Your application on www.betavine.net in accordance with the Betavine Terms of Use, or any other Vodafone platform.

5. Liability

5.1 Neither Vodafone nor the Sponsor is liable for any damage, loss or disappointment suffered by Your participation in the Competition, other than damages for death or personal injury caused by Vodafone’s or the Sponsor’s negligence.

5.2 Vodafone and the Sponsor expressly exclude any liability caused by loss or delay of entries, failure of the competition entry database, Betavine failure (for whatever reason) or any failure by us to record Your details, as well as any liability for failure to contact You.

5.3 The Prize offered will be accepted in the knowledge that the winner may become liable to local tax contributions and any Prize awarded may have to be declared on an annual tax return as required. Any tax liability will be the responsibility of the winner and the winner must pay any local taxes due.

6. General

6.1 Vodafone and the Sponsor may issue updates to these Competition Terms from time to time. Any such updates will be posted on the relevant sections of Betavine. If you do not agree to Your entry being considered in the Competition under such revised terms, You must notify webmaster@betavine.net that You want to remove Your entry from the Competition.

6.2 Vodafone and the Sponsor reserve the right to cancel or terminate any Competition:

6.2.1 should any cause beyond Vodafone’s and the Sponsor’s control affect the administration, operation or ability to host the Competition; and

6.2.2 if the entries to the Competition are of insufficient quantity or quality to allow a meaningful Competition to take place; in either event at Vodafone’s or the Sponsor’s sole opinion.

6.3 The Competition and all materials, characters, logos or other images, and in particular the Terms and the Rules are protected by copyrights or other intellectual property rights. No information may be reproduced in any format without Vodafone’s prior written consent.

6.4 No express or implied term of these Terms is enforceable pursuant to the Contract (Rights of Third Parties) Act 1999 by any person who is not a party to it.

6.5 Unless specifically stated otherwise on the Competition entry page, the Competition is operated in England, is subject to English law and is governed by the exclusive jurisdiction of English courts.
